SmileLyra Service Agreement

These Terms of Service ("Agreement") govern your use of SmileLyra, a web accessibility audit platform operated by Quasar Systems LLC, a Washington State limited liability company ("SmileLyra," "we," "us"). By registering an account or purchasing a service, you agree to these terms.
Services
SmileLyra provides web accessibility auditing, remediation, and monitoring services for dental practices and healthcare websites. Services include automated scanning, AI-assisted review, PDF report delivery, code remediation, and monthly monitoring depending on the package selected. The specific deliverables for each package are described on the pricing page at the time of purchase.
Payment terms
All fees are charged in USD. Standard packages are billed at the fixed price displayed at checkout. Subscription services (monthly monitoring) are billed on a recurring basis on the same day each billing period. All payments are processed through Stripe, our third-party payment processor.
For custom-scope engagements, final price is confirmed in writing before work begins and you will not be charged more than the quoted amount without prior written agreement.
Delivery and access
Audit reports and deliverables are released to you only after full payment has cleared. For installment arrangements, deliverables scheduled within a billing period are released after the payment for that period has cleared. SmileLyra reserves the right to withhold delivery of any remaining work if a payment is outstanding.
Delivery timelines communicated at the time of purchase are estimates, not guarantees. SmileLyra will use reasonable efforts to meet those estimates and will notify you promptly if a delay is anticipated. Delays caused by factors outside our reasonable control — including technical outages, delayed access to your website or codebase, or scope changes you request — do not constitute a breach of this Agreement.
Non-payment and failed payments
If a payment fails, your access to platform features and reports will be suspended until the payment is resolved. For subscription services, we will attempt to retry the payment automatically. If payment cannot be collected after reasonable retry attempts, the subscription will be cancelled and access will be permanently suspended.
Work already delivered prior to a payment failure is non-refundable. Remaining deliverables will be paused until payment is restored. If a subscription cancels due to non-payment, any deliverables not yet released are forfeited. We reserve the right to pursue outstanding balances through collections, mediation, or Washington State Small Claims Court for amounts up to $10,000.
If you believe a payment was charged in error, contact us within 30 days at . We will investigate and issue a correction or refund if warranted.
Refund policy
Work not yet started is refundable in full upon written request. Work in progress is refundable on a pro-rata basis for the portion not yet completed, at our sole determination. Delivered audit reports, PDF documents, and code fixes are non-refundable once delivered, as they represent completed professional work product.
Scope of services and limitations
Audit reports are generated by SmileLyra's automated scanning and AI-assisted review pipeline. They are not reviewed or certified by a human accessibility specialist. They do not constitute legal advice and do not certify full WCAG 2.1 Level AA compliance. Automated tools detect approximately 30–40% of accessibility issues. Remediating all identified findings significantly reduces legal risk but does not guarantee immunity from future claims or litigation.
SmileLyra does not recommend accessibility overlay widgets (such as AccessiBe, UserWay, or similar products) as a compliance solution. Such tools do not reliably achieve WCAG conformance and have been subject to legal challenges.
Intellectual property
Audit reports, PDF documents, and written recommendations delivered to you are licensed for your use in connection with your practice. You may share them with your legal counsel, web developer, or other professionals advising you. You may not resell, redistribute, or represent SmileLyra's work product as your own without express written consent.
Limitation of liability
To the maximum extent permitted by applicable law, SmileLyra's total liability to you for any claims arising from these terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.
Force majeure
SmileLyra shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to: third-party service outages (hosting, scanning tools, payment processors), acts of nature, loss of internet connectivity, or any other event that could not reasonably have been anticipated or prevented. In any such event, we will notify you as soon as reasonably practicable and resume performance as soon as the circumstances allow.
Governing law
This Agreement is governed by the laws of the State of Washington. Any disputes not resolved by good-faith negotiation shall be submitted to binding arbitration in King County, Washington, or Washington State Small Claims Court for amounts within its jurisdictional limit.
Changes to these terms
We may update these terms from time to time. Material changes will be communicated by email to registered account holders. Continued use of the platform after the effective date of any update constitutes acceptance of the revised terms.
